NTWRK TERMS AND CONDITIONS

01 Introduction

Apple App Store & Google Play Store Compliant · Version 1.0 · Effective April 2026 · Bizdateup Network Private Limited · ourntwrk.com · Published by Bizdateup Technologies on behalf of Bizdateup Network Private Limited.

These Terms and Conditions ("Terms") govern your access to and use of the NTWRK mobile application (the "App") and all related services provided by Bizdateup Network Private Limited ("NTWRK"), CIN: U74999MH2022PTC390353, a company incorporated in India. The App is published on the Apple App Store and Google Play Store by Bizdateup Technologies Private Limited (CIN: U72900MH2022PTC379408) on behalf of Bizdateup Network Private Limited, pending DUNS activation. All legal obligations under these Terms rest with Bizdateup Network Private Limited.

By registering, downloading, or using the App, you ("User") agree to these Terms, our Privacy Policy, and all applicable Indian laws. If you do not agree, do not access or use the App.

02 App Store and Google Play Store Terms

2.1 Apple App Store

  • These Terms are between you and NTWRK only, not with Apple Inc. Apple is not responsible for the App or its content.
  • Apple has no obligation to provide maintenance or support services for the App.
  • Apple is a third-party beneficiary of these Terms and may enforce them against you.
  • Event registrations on the App are free and no in-app purchases via Apple's In-App Purchase system are currently offered. When paid ticketing is introduced, purchases will be processed via Easebuzz, an RBI-approved payment gateway, and are exempt from Apple IAP as they are for real-world event services.

2.2 Google Play Store

  • These Terms are between you and NTWRK only, not with Google LLC. Google is not responsible for the App or its content.
  • No purchases are currently offered via Google Play Billing. Future ticket purchases will be processed via Easebuzz.
  • In the event of any conflict between these Terms and Google Play's Distribution Agreement, Google's terms prevail to the extent of such conflict.

03 User Accounts and Registration

  • Users must provide accurate, complete, and current information during registration.
  • Users must select the correct role: Investor, Startup / Founder, or Attendee. Deliberate misrepresentation may result in account suspension or termination.
  • Business Users and Investors representing organisations must have authority to legally bind that organisation.
  • Users are solely responsible for maintaining the confidentiality of their login credentials.
  • Accounts are personal and may not be transferred or shared.
  • NTWRK may suspend or terminate accounts that provide false information or violate these Terms.

04 Role-Based Access and Profile Visibility

4.1 Profile Visibility

  • Investors and Attendees may view the public profiles of other Attendees and Startups.
  • Startups may view a selective, limited view of Investor profiles only. Full Investor details are not exposed without the Investor's explicit opt-in.
  • Users must not use another User's profile data for any purpose outside professional networking on the Platform.

4.2 Investors

Investor status on the Platform is for networking and deal-sourcing purposes only. It does not constitute SEBI registration, investment advisor status, or any regulated financial designation. All investment decisions are entirely at the Investor's own discretion and risk.

4.3 Startups / Founders

Startup profiles and pitch materials are for informational and networking purposes only. They do not constitute a securities offering or regulated fundraising activity. Startups are responsible for ensuring compliance with SEBI, FEMA, and the Companies Act, 2013.

4.4 Attendees

Attendees may browse events and register for them, subject to event-specific codes of conduct.

4.5 NTWRK Admins

Admin accounts are for internal NTWRK use only, governed by internal policies and confidentiality obligations.

05 Use Restrictions

Users must not:

  • Engage in unlawful activity or infringe the intellectual property rights of any third party;
  • Transmit spam, unsolicited marketing, malware, or harmful code;
  • Impersonate any person, or misrepresent their identity, role, or affiliation;
  • Violate the privacy of other Users or extract / harvest personal data without authorisation;
  • Use the Platform to solicit investment without applicable regulatory approvals;
  • Scrape, reverse engineer, decompile, or obtain unauthorised access to Platform systems; or
  • Transmit content that is defamatory, obscene, harassing, discriminatory, or otherwise unlawful.

Violations may attract civil and criminal liability under the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, and other applicable Indian laws.

06 Event Participation and Recording Consent

  • Entry to specific events may be restricted by role, age, or other criteria communicated in the event listing.
  • NTWRK reserves the right to refuse entry or participation for breach of these Terms or inappropriate conduct.

Recording Consent — Open Consent

By creating a NTWRK account, registering for any NTWRK event, or attending any NTWRK event, venue, gathering, masterclass, podcast, or networking activity, you grant NTWRK open, ongoing, irrevocable, royalty-free, perpetual, and worldwide consent to photograph, film, audio-record, livestream, and otherwise capture your image, voice, likeness, and statements, and to use, reproduce, edit, publish, broadcast, distribute, archive, and create derivative works from such material in any medium for documentation, editorial, promotional, marketing, advertising, training, and commercial purposes — across NTWRK's websites, apps, social media, podcasts, partner channels, and third-party publications.

This consent is granted without expectation of payment, royalty, attribution, or further notice. You waive any right to inspect or approve such material before publication. Post-event removal requests, where technically feasible, may be submitted to the Grievance Officer at grievance@bizdateup.com and will be actioned within 30 days. Incidental capture in group / wide-angle / crowd footage may not always be removable.

Conduct

  • All attendees must adhere to the NTWRK Code of Conduct (Section 7), which applies on the App, on ourntwrk.com, in any community channel operated by NTWRK, and at every NTWRK event, gathering, masterclass, or networking activity.
  • NTWRK may request proof of identity at events.

07 NTWRK Code of Conduct

Every User agrees to abide by this Code of Conduct as a condition of accessing the Platform and attending any NTWRK event. The Code applies equally to founders, investors, attendees, speakers, sponsors, partners, vendors, employees, and contractors.

Expected behaviour

  • Treat every other User with professionalism, respect, and dignity, regardless of role, gender, gender identity or expression, sexual orientation, age, ability, race, caste, religion, ethnicity, nationality, language, or socio-economic background.
  • Communicate honestly. Represent your identity, role, and credentials accurately.
  • Engage in good-faith networking. Use Platform contact information only for professional networking on the Platform.
  • Respect the confidentiality of pitch material, financials, and any information explicitly marked confidential.

Prohibited behaviour

  • Harassment, intimidation, bullying, stalking, doxxing, or unwanted contact of any kind, online or in person.
  • Sexual harassment, including unwelcome sexual advances, comments, or gestures, in line with the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013 (POSH).
  • Hate speech, discrimination, or content that targets any individual or group on the grounds listed above, including content prohibited by IT Rules 2021 Rule 3(1)(b).
  • Threats, incitement to violence, or terrorist or extremist content.
  • Sexual content involving minors (CSAM); any such content will be reported immediately to the National Cyber Crime Reporting Portal under POCSO, 2012.
  • Misrepresentation of identity, role, affiliation, or regulatory status (including falsely claiming SEBI registration or any other licence).
  • Solicitation of investment, fundraising, or any regulated financial activity without the requisite SEBI / RBI / IRDAI authorisation.
  • Spam, unsolicited bulk outreach, scraping, or harvesting of other Users' data (see Section 17 Anti-Spam).
  • Photography, audio, or video recording of any other User at a NTWRK event without their consent, save for NTWRK's own official recording under Section 6 above.
  • Possession or use of weapons, illegal substances, or being intoxicated to the point of disruption at any NTWRK event.

Reporting and enforcement

  • Report any violation of this Code in-app via the Report function on a profile, by emailing grievance@bizdateup.com (subject line: "Code of Conduct Report"), or in person to any identified NTWRK staff member at an event.
  • NTWRK acknowledges reports within 24 hours and acts on confirmed violations promptly. Action may include warnings, content removal, event ejection without refund, account suspension or termination, banning from future NTWRK events, and referral to law enforcement where the conduct involves criminal behaviour.
  • NTWRK will, where lawful, protect the identity of the reporter from the reported User. Retaliation against any reporter is itself a violation of this Code.

Off-platform conduct

NTWRK reserves the right to act under this Code where a User's off-platform conduct (including on third-party social media or at non-NTWRK events) materially affects the safety, dignity, or trust of other NTWRK Users — for example, credible allegations of harassment, fraud, or regulatory violation against another Platform User.

08 Location Services

The NTWRK App requests access to your device's precise location to show you nearby events. Location data is processed in-session and is not stored on NTWRK's servers. You may revoke location permission at any time via device settings without affecting other App features.

09 Free Platform and Future Paid Features

The NTWRK platform is currently free to use. Event registrations carry no charge at this time. NTWRK may introduce paid ticketing or premium memberships in the future. Any such introduction will be communicated at least 30 days in advance with updated Terms, refund policies, and payment disclosures. When paid features are introduced, payments will be processed via Easebuzz Payment Solutions Private Limited, an RBI-approved payment aggregator.

10 User Content and Licence

  • Users may submit profile information, photographs, startup pitch materials, and other content ("User Content").
  • Users represent and warrant they own all rights to their User Content and that it is accurate, lawful, and non-infringing.
  • Licence Grant: By submitting User Content, you grant NTWRK a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable licence to use, reproduce, display, distribute, modify, and create derivative works of such content in connection with NTWRK's business and marketing operations.
  • NTWRK may remove User Content that violates these Terms or applicable laws, without notice.
  • You retain ownership of your User Content.

11 Intellectual Property

  • NTWRK retains all rights in its intellectual property including the App, platform software, branding, content, and event materials.
  • No licence or transfer of NTWRK's trademarks, logo, software, or content is granted without express prior written permission.
  • The NTWRK name, logo, and marks are the exclusive property of Bizdateup Network Private Limited.

12 Account Deletion

Users may permanently delete their NTWRK account at any time, in compliance with Apple App Store Review Guidelines (Section 5.1.1) and Google Play account deletion requirements.

How to Delete

  • In-App: App Settings > Account > Delete Account, and confirm.
  • By Email: Email grievance@bizdateup.com with subject "Account Deletion Request" from your registered email.

What Happens After Deletion

  • Profile data and personal information deleted or anonymised within 30 days.
  • Financial records retained for 8 years as required by Indian tax law.
  • Event recording appearances require a separate removal request (Section 6).
  • Deleted accounts cannot be restored. A new registration will be required.

13 Third-Party Services

The App integrates with and links to third-party services governed by their own terms and privacy policies. NTWRK is not responsible for the actions, content, or security practices of third-party services.

14 Privacy and Data Protection

NTWRK processes personal data in accordance with its Privacy Policy, DPDPA 2023, and the IT Act, 2000. Users who access other Users' information through the Platform must use such information only for professional networking within the Platform and in compliance with applicable Indian data protection laws.

15 Tracking Technologies

NTWRK does not currently use cookies or browser-based tracking on the Platform. However, NTWRK reserves the right to introduce and use, at any time and from time to time, cookies, web beacons, pixel tags, SDK-based identifiers, server-side tracking, fingerprinting, session-replay tools, mobile measurement partners, attribution tools, and other current or future tracking, measurement, analytics, advertising, and personalisation technologies ("Tracking Technologies") on its websites, apps, and any other property within the Service.

When such Tracking Technologies are introduced:

  • material details (purpose, categories, and any third-party recipients) will be disclosed in the Privacy Policy and, where required, surfaced through an in-product notice or consent prompt;
  • Users will be given the opportunity to grant or withhold consent where consent is legally required (including under DPDPA 2023 and applicable e-Privacy norms);
  • iOS users will be prompted via Apple's App Tracking Transparency (ATT) framework before any cross-app or cross-website tracking identifier is accessed;
  • Android users' choices regarding the Advertising ID will be respected.

Continued use of the Platform after a Tracking Technology is introduced and disclosed in the Privacy Policy constitutes acknowledgement of these Terms as updated.

16 User-Generated Content, Reporting, and Takedown

In compliance with Apple App Store Review Guideline 1.2, Google Play User-Generated Content policy, the Information Technology Act, 2000 (Sections 69A and 79), and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, NTWRK provides:

Prohibited content. Users must not post, transmit, or share content that is unlawful, defamatory, obscene, pornographic, paedophilic, invasive of privacy, insulting, harassing, hateful, racially or religiously offensive, threatening, child sexual abuse material (CSAM), promotes terrorism, infringes intellectual property, contains malware, or is otherwise prohibited under Indian law including the Bharatiya Nyaya Sanhita, 2023, the Protection of Children from Sexual Offences Act, 2012 (POCSO), and IT Rules 2021 Rule 3(1)(b).

Filtering, blocking, and reporting. The Platform provides Users with: (i) the ability to report objectionable content or abusive behaviour by another User; (ii) the ability to block another User, preventing further interaction; and (iii) NTWRK's commitment to review and act on reports promptly.

How to report. Email grievance@bizdateup.com with subject line "Content Report" and include: (a) a link to or screenshot of the content, (b) the offending User's profile if known, (c) a description of the violation, and (d) your contact details. Reports may also be submitted via the in-App Report mechanism on each profile and content surface.

Acknowledgement and action. NTWRK acknowledges reports within 24 hours and acts on confirmed objectionable content within 24 hours of confirmation, in line with IT Rules 2021 Rule 3(2)(b). CSAM is removed immediately on confirmation and reported to the National Cyber Crime Reporting Portal.

Takedown by court order or government direction. NTWRK will comply with valid court orders and lawful directions issued under Section 69A of the IT Act, 2000 and IT Rules 2021.

Right to remove and suspend. NTWRK may, at its sole discretion and without liability, remove any User Content and suspend or terminate any account that, in NTWRK's reasonable judgement, violates these Terms or applicable Indian law.

17 Anti-Spam

NTWRK does not send marketing or transactional SMS. All OTPs, account alerts, and transactional communications are delivered via email. Marketing email is sent only to Users who have explicitly opted in, and every marketing email carries an unsubscribe link.

Users must not, on or via the Platform: send unsolicited bulk messages or chain communications; harvest contact details of other Users for any external messaging campaign; impersonate NTWRK or any third party; bypass anti-abuse mechanisms; or use messaging features to send commercial solicitations to Users who have not consented. Spam, phishing, or impersonation may be reported to grievance@bizdateup.com. Violations may result in immediate suspension or termination and may attract liability under the Information Technology Act, 2000.

18 No Physical Goods, No Shipping

NTWRK does not sell, ship, or deliver physical products through the Platform. All offerings on the Platform are digital (account access, event registration, networking, content, and digital tickets). No shipping, delivery, return, or exchange policy applies to physical goods. Refund and cancellation rules for digital tickets and event registrations are set out in the Refund and Cancellation Policy.

19 Event Cancellation and Postponement

  • NTWRK may reschedule, substitute speakers or topics, or cancel events due to unforeseen circumstances including force majeure.
  • Since the platform is currently free, no financial refund obligations arise from event changes at this time.
  • NTWRK will notify affected registered Users via email, SMS, and in-app notification as soon as practicable.
  • When paid ticketing is introduced, the Refund and Cancellation Policy will govern all financial obligations.

20 Limitation of Liability

To the maximum extent permitted by applicable Indian law, NTWRK shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from use of the App, event participation, reliance on Platform content, or connections made through the Platform, except where caused by NTWRK's wilful misconduct or gross negligence.

Nothing herein limits NTWRK's liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Indian law including the Consumer Protection Act, 2019.

21 Indemnification

You agree to indemnify, defend, and hold harmless NTWRK, Bizdateup Network Private Limited, Bizdateup Technologies Private Limited, their affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your User Content; (c) your misuse of any other User's profile data, including unsolicited outreach or scraping; (d) your violation of any applicable Indian law (including the Information Technology Act, 2000, DPDPA 2023, the Bharatiya Nyaya Sanhita, 2023, SEBI / FEMA / Companies Act, 2013); or (e) your infringement of any third-party rights including intellectual property and privacy rights.

22 Termination

NTWRK may suspend or terminate your account, with or without notice, if you violate these Terms, applicable Indian law, Apple App Store Guidelines, or Google Play policies; if you provide false information; if your conduct exposes NTWRK or other Users to legal, security, or reputational risk; or if NTWRK is required to do so by law, regulator, or court order. On termination, you lose access to the Platform; User Content may be retained or deleted at NTWRK's discretion subject to legal retention obligations; and clauses in these Terms which by their nature survive termination (including Sections 10, 11, 14, 16, 20, 21, 23, 25) will continue to apply.

23 Survival

The provisions of these Terms which by their nature should survive termination — including but not limited to Sections 10, 11, 14, 15, 16, 17, 18, 20, 21, 22, 25, and 26 — will survive any expiry or termination of your access to the Platform.

24 Force Majeure

NTWRK is not liable for failure or delay in performing obligations due to events beyond its reasonable control, including acts of God, war, civil unrest, natural disasters, pandemics, government orders, power failures, or cybersecurity incidents, as understood under the Indian Contract Act, 1872. This clause does not limit NTWRK's data breach notification obligations to the DPBI under DPDPA 2023.

25 Governing Law and Dispute Resolution

  • Step 1 — Amicable Resolution: Good-faith negotiation within 30 days of written notice of dispute.
  • Step 2 — Arbitration: Binding arbitration under the Arbitration and Conciliation Act, 1996. Seat: Mumbai, Maharashtra; Language: English; One arbitrator, mutually appointed.
  • Consumer Rights: Users may approach consumer courts in Mumbai, Maharashtra under the Consumer Protection Act, 2019.

26 Miscellaneous

  • If any provision is found unenforceable, the remaining provisions continue in full force.
  • No agency, partnership, or employment relationship is created by these Terms.
  • NTWRK's failure to enforce any provision is not a waiver of that right.
  • These Terms together with the Privacy Policy constitute the entire agreement between you and NTWRK.

27 Updates to These Terms

Material updates will be communicated via in-app notification or registered email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
